Welcome to Cornytis. These Terms of Use (“Terms”) govern your access to and use of the Cornytis website, documentation, and the Agentys platform (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity (such as a bank or financial institution), you represent that you have the authority to bind such entity to these conditions.

1. Use of Services

Eligibility: You must be at least 18 years old and possess the legal capacity to enter into these Terms to use our Services.

Authorized Accounts: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Cornytis immediately of any unauthorized use.

Prohibited Conduct: You agree not to misuse the Services, including but not limited to:

• Attempting to reverse engineer, decompile, or disrupt the Agentys architecture.
• Using the platform to process unauthorized, fraudulent, or illegal financial transactions.
• Bypassing or attempting to circumvent any security measures or deployment boundaries (such as VPC configurations) established by Cornytis.

2. Intellectual Property Rights

Our Ownership: Cornytis and its licensors retain all right, title, and interest in and to the Services, including all software, code, algorithms, workflows, branding, and user interfaces (including the Agentys execution layer).

Limited License: Subject to these Terms, Cornytis grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business operations.

3. Data and Privacy

Your Data: You retain all rights and ownership over any data, credit policies, or operational parameters you input into the platform.

Data Planes and Security: For enterprise deployments utilizing our isolated data planes within your own Virtual Private Cloud (VPC), you acknowledge that data sovereignty and localized security controls remain your operational responsibility as outlined in your specific Master Services Agreement (MSA).

Privacy Policy: Your use of our website and services is also governed by our Privacy Policy, which details how we collect, use, and safeguard information.

4. Disclaimers and Limitation of Liability

“As-Is” Basis: The standard website, documentation, and public demos are provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied.

Limitation of Liability: To the maximum extent permitted by law, Cornytis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use or inability to use the Services.

5. Termination

We reserve the right to suspend or terminate your access to the non-enterprise portions of our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

6. Governing Law and Changes

Governing Law: These Terms shall be governed by and construed in accordance with the laws of your designated jurisdiction, without regard to its conflict of law principles.
